Shipping and Freight. The parties agree that shipments by Essilor to HKO and OMX will be either to (i) the addresses set forth on Schedule B for the respective facilities, (ii) other addresses for HKO and OMX within their current shipping jurisdictions, upon the reasonable discussion between the parties regarding the technicalities and terms related to shipping to such addresses, or (iii) to such other addresses as mutually agreed between the parties. Other than as described below with respect to lenses processed by an Essilor laboratory, Essilor will be responsible for all freight and other charges including duties on shipments to Customer’s U.S. and OMX production facilities. Customer will be responsible for all freight and other charges including duties on shipments to HKO. Shipping method will be ground freight for stock replenishment orders and 2-Day freight to domestic labs. Customer agrees to cover actual shipping costs for all shipments of lenses processed by an Essilor laboratory that are then shipped to Customer from such laboratory. Other than with respect to shipments to HKO, which will be shipped Exworks, title for all shipments will pass and Customer will assume all risk of loss of product at the time of delivery, which will be F.O.B. point of delivery. Except as described above, Essilor shall ship lenses in accordance with practices and timeframes currently in effect for domestic shipments by Essilor to Customer.
Shipping and Freight. ST. ▇▇▇▇▇ will be responsible for carrier selection and routing instructions. Unless set forth to the contrary in the Agreement, all Products & Services are delivered F.O.B. Destination, and title transfers upon delivery at that point. ST. URIEL’s prices include standard shipping and insurance to the F.O.B. point specified therein; however, standard transportation does not include Partner requests for specific carriers or for expedited shipments. If agreed to by ST. ▇▇▇▇▇ in advance in writing, ST. ▇▇▇▇▇ will use reasonable efforts to ship Products & Services in accordance with Partner’s instructions and via Partner’s preferred shipping account. In such event, all freight, insurance and related expenses will be Partner’s responsibility.
Shipping and Freight. All shipments will be made from FCI’s shipping points. Absent specific agreement, otherwise, FCI will select the carrier. Title and risk of loss of the Product(s) passes to the Buyer upon FCI’s delivery to the designated carrier or delivery service. The buyer shall reimburse FCI for any insurance proceeds obtained covering losses associated with delivering the Product(s) to the carrier. If a shipment date is indicated on this Agreement, such date is only an estimated delivery date, and not a binding term of this Agreement. FCI will make commercially reasonable efforts to meet the delivery date. If FCI does not deliver the Product(s) within sixty (60) days of the delivery date, then Buyer may terminate this Agreement, and neither Buyer nor FCI will have any further obligations. FCI may, in its sole discretion, without liability or penalty, make partial shipments of Products to Buyer. Each shipment will constitute a separate sale, and the Buyer shall pay for the units shipped whether such shipment is in whole or partial fulfillment of Buyer’s order. Consistent with the practices used by Ingram and CompUSA as of the Effective Date, following the close of each month, Ingram shall issue a credit to CompUSA in an amount equal to the ground freight costs which Ingram would have incurred on any shipments where the freight costs were charged to CompUSA's freight carrier account. CompUSA shall bear all freight and handling costs for shipments of Goods and Products to destinations outside of the United States.

However, such fees will be built into the Marketing Fee and as such will be advanced by Agent to Shipper at the conclusion of each Marketing Event. Seller will not include extra items or inserts in any shipment (e.g. giveaways, order forms, pamphlets) without advance review and approval from Agent.
