Shipping Schedule. Unless otherwise instructed by Buyer, Seller shall prepare delivery in accordance with the Shipping Schedule as set in Attachment-A.
Shipping Schedule. 3.1 Shipment dates are approximate and represent ▇▇▇▇▇▇'s best judgment at the time of quotation. Estimations of shipping dates are made in good faith, but they are NOT guarantees and are not the essence of an Order.
3.2 Seller reserves the right to make shipment in lots. Upon shipment of each lot, Seller shall have the right to immediately invoice an amount representing that appropriate portion of the total selling price.
3.3 Seller shall have the right to manufacture the Goods to be provided pursuant to these T&C’s as far in advance of its estimated shipping schedule as it deems appropriate in its sole discretion. Seller reserves the right to ship in advance of any Buyer request dates, except those dates stipulated "not before".
3.4 Should shipment be held beyond scheduled date for the convenience of Buyer, the Seller reserves the right to bill immediately for the Goods and to charge Buyer for all expenses incident to such delay, including but not limited to storage of the Goods.
3.5 Seller will not be responsible for deviations in meeting specified shipping schedules nor for any losses, claims or damages to Buyer (or any third person) occasioned by deviation in the performance or the non-performance of any of Seller’s obligations hereunder, or by loss of or damages to the Goods when caused directly or indirectly by, or in any manner arising from, any casualty, riots, acts of Buyer, strikes, or by other labor difficulties, shortages of labor, supplies, and transportation facilities or any other similar or different cause or causes beyond Seller’s reasonable control or the reasonable control of its suppliers or subcontractors.
Shipping Schedule. By the first Business Day of each month from and after the Effective Date, Customer shall provide Owner a non-binding, indicative schedule of the Shipment size and 15 day windows of each Shipment to be delivered to Customer over the following 3-month period.
Shipping Schedule. The parties agree that the delivery of the shipments shall be evenly spread and performed between January and March 2025. The loading quantity of each shipment shall be 70,000 to 150,000 MT (subject to a 10% upward or downward adjustment). The base price of the steam coal will be determined based on Indonesia coal price index, subject to price adjustment for coal quality and coal’s net calorific value. Zhejiang Energy Asia Pacific shall pay by telegraphic transfer within five working days (China and Hong Kong official bank business days) after receiving the original documents prescribed under the Coal Supply Agreement, which include SDE’s signed commercial invoice, clean on-board bills of lading, electronic-certificate of origin issued by Department of Trade of Republic of Indonesia, certificate of sampling and analysis, certificate of weight, certificate of origin and draft survey report issued by independent surveyor. The parties agree that the aggregate transaction amount (including subsequent transactions to be entered into by the parties in addition to the transactions contemplated under the Coal Supply Agreement) in respect of the purchases of coal by Zhejiang Energy Asia Pacific from SDE for the year ending 31 December 2025 shall not exceed USD112,000,000 (the “Annual Cap”). The above proposed Annual Cap in respect of the purchases of coal by Zhejiang Energy Asia Pacific from SDE is determined based on the estimated demand of coal from Zhejiang Energy, the production capacity of SDE and the Indonesia Coal Price Index.
Shipping Schedule. If the number of Files to be shipped pursuant to any one or more of the foregoing provisions of this Section 3.10 is one hundred fifty (150) or less and the Shipping Request is received by 10:30 a.m. (Denver time) on a Business Day, the Buyer will use its best efforts to ship the Files on that same Business Day. If more than one hundred fifty (150) Files are to be shipped or the Shipping Request is received later than 10:00 AM (but not later than 2:00 PM) on a Business Day, the Buyer will use its best efforts to ship them on the next Business Day, unless more than two hundred fifty (250) Files are to be shipped, in which event one additional Business Day shall be added for each increment of two hundred (200) files in excess of two hundred fifty (250) files to be shipped, limited to a maximum of ten (10) Business Days.
Shipping Schedule. SafeNet Assured Technologies shall use its reasonable efforts to ship Products to Purchaser in accordance with the shipment schedule provided by SafeNet Assured Technologies to Purchaser. Delivery dates proposed by Purchaser in its purchase order or other documentation shall not be binding on SafeNet Assured Technologies. Notwithstanding the foregoing and without limiting the generality of Section 8, SafeNet Assured Technologies shall not be liable for damages of any kind as a result of a delay in delivery, regardless of the reason. The delivery schedule shall be extended automatically by a period of time equal to the time lost because of any such delay.
Shipping Schedule. ParcelTools PL shall use reasonable efforts to ship Products to Customer in accordance with the shipment schedule provided to ParcelTools PL by Customer. ParcelTools PL reserves the right to ship Products as early as five (5) business days prior to the requested shipment date in order to accommodate ParcelTools PL’s overall delivery
Shipping Schedule. Commencing on the Commencement Date, Nordion shall deliver Product in accordance with the initial shipping schedule set out on Schedule E. Nordion and LMI agree to enter into good faith discussions, from time to time, to negotiate in good faith a revised shipping schedule that reflects the needs of LMI’s customers and, the parties as required and agreed, shall amend the shipping schedule as reasonably necessary to meet those needs taking into account Nordion’s Product production schedule, regulatory requirements, the availability of carriers and other logistical circumstances that may impact the manufacture and shipping of Product. In the event that the parties do not agree to a revised shipping schedule, Nordion shall continue to ship Product in accordance with the initial shipping schedule set out in Schedule E as unamended.
Shipping Schedule. RCDevs shall use its reasonable efforts to ship Products to Purchaser in accordance with the shipment schedule provided by RCDevs to Purchaser. Delivery dates proposed by Purchaser in its purchase order or other documentation shall not be binding on RCDevs.
Shipping Schedule. (a) DP&L shall provide Pen with a "Shipping Schedule" thirty (30) days prior to the start of each Quarter. The Shipping Schedule will notify Pen of the quantity of coal to be Tendered hereunder during each of the ensuing three (3) months. DP&L shall update the Shipping Schedule on a monthly basis. It may be necessary for DP&L to change the Shipping Schedule per its monthly revisions, or within a given month. DP&L may change the Tons scheduled for shipment by plus or minus fifteen percent (15%) of the Tons scheduled for Tender during that month. Pen agrees to begin Tendering coal according to such revised Shipping Schedule as soon as reasonably possible after receipt of DP&L's notice. DP&L may change the Tons schedule for shipment beyond plus or minus fifteen percent (15%) with Pen's prior consent, which consent shall not be unreasonably withheld. These adjustments will not change the total of DP&L's annual or three (3) month Base Tonnage obligation as declared per Section 4.03. DP&L shall advise Pen of planned outages at the Power Plant to which DP&L is shipping the coal and for planned unloader maintenance at DP&L's dock. To the extent reasonably practicable, DP&L shall schedule tonnage in substantially equal monthly quantities.
