Common use of SHL Acquisition Clause in Contracts

SHL Acquisition. The Administrative Agent shall have received a certificate from an authorized officer of the Borrower confirming that concurrently with the funding of the Loans, the SHL Acquisition shall have been consummated in accordance with the terms of the Acquisition Agreement (other than payment of the purchase price under the Acquisition Agreement which will be satisfied immediately following utilization of the Loans) and the Acquisition Documents shall not have been altered, amended or otherwise changed or supplemented or any provision or condition therein waived, and the Borrower shall not have consented to any action that would require the consent of the Borrower under the Acquisition Documents if such alteration, amendment, change, supplement, waiver or consent would be adverse to the interests of the Lenders in any material respect, in each case without the consent of the Required Lenders.
