Common use of Shop Rights Clause in Contracts

Shop Rights. The Company shall have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined herein but which are conceived of or made by Executive during the period he is engaged by the Company or with the use or assistance of the Company’s facilities, materials, or personnel.

Shop Rights. The Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined herein in Section 2 but which are conceived of or made by Executive the Consultant during the period he Consultant is engaged by the Company or with the use or assistance of the Company’s facilities, materials, materials or personnel.

The Company shall also have the a perpetual, royalty-free free, non-exclusive right to use in its business, and to make, use use, license and sell products, processes and/or services derived from any inventions, discoveries, concepts and designs, improvements, concepts, ideas, works of authorship, whether patentable or not patentablenot, including but not limited to processes, methods, formulas and techniquesformulae, as well as improvements thereof techniques or know-how related thereto, which that are not within the scope of Inventions “Inventions” as defined herein above, but which are conceived of or made by Executive Employee during the period he is engaged by the Company regular working hours or with the use or assistance of the Company’s facilities, materials, materials or personnelpersonnel of Company.
