Common use of Should Clause in Contracts

Should. 8.1.1 the estate of either of the parties be finally sequestrated or liquidated (as the case may be) or placed under judicial management or business rescue, or 8.1.2 either of the parties (hereinafter referred to as the “defaulting party”) commit a breach of any of the terms of this agreement (including failing to make any payments on due date) and fail to remedy such breach within seven (7) days of date of delivery by the other party (hereinafter referred to as the “aggrieved party”) of written notice calling upon the defaulting party to remedy such breach; then the aggrieved party shall in such circumstances forthwith be entitled to either- cancel this agreement without prejudice to any rights which the aggrieved party may have in terms of this agreement or in terms of law; OR to claim specific performance by the defaulting party of his obligations in terms of this agreement.
