Signatures Affiliates. 5.1 The individual signing this Agreement for the Member represents and warrants that he or she has the authority to enter into this Agreement on behalf of the Member. 5.2 Member (other than Federal agency Members) acknowledges and agrees that terms of the INCITS Patent Policy are applicable to its “Affiliates” as defined below. As used herein: “Affiliate,” means any entity that Controls, is Controlled by, or is under common Control with, another entity. “Control” means direct or indirect beneficial ownership of or the right to exercise (i) greater than fifty percent (50%) of the voting stock of that entity, or (ii) greater than fifty percent (50%) of the ownership interest representing the right to make the decisions for that entity in the event that there is no voting stock or equity.

  • Signatures and Counterparts Facsimile transmission of any signed original document and/or retransmission of any signed facsimile transmission shall be the same as delivery of an original. At the request of Buyer or the Selling Parties, the parties will confirm facsimile transmission by signing a duplicate original document. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall be considered one and the same agreement.

  • Counterparts; Fax Signatures This Agreement may be executed in any number of counterparts (including executed counterparts delivered and exchanged by facsimile transmission) with the same effect as if all signing parties had originally signed the same document, and all counterparts shall be construed together and shall constitute the same instrument. For all purposes, signatures delivered and exchanged by facsimile transmission shall be binding and effective to the same extent as original signatures.
