Common use of Signed Copies of the Registration Statement and Copies of the Prospectus Clause in Contracts

Signed Copies of the Registration Statement and Copies of the Prospectus. The Partnership will furnish to the Underwriter and counsel for the Underwriter, without charge, photocopies of signed copies of the Registration Statement (including exhibits thereto) and, so long as delivery of a prospectus by the Underwriter or dealer may be required by the Act (including in circumstances where such requirement may be satisfied pursuant to Rule 172), as many copies of each Preliminary Prospectus, the Prospectus and each Issuer Free Writing Prospectus and any supplement thereto as the Underwriter may reasonably request.
