Common use of Significance of Waivers Clause in Contracts

Significance of Waivers. OneMain Financial represents, warrants and agrees that each of the waivers set forth herein are made with OneMain Financial’s full knowledge of their significance and consequences, with the understanding that events giving rise to any defense waived may diminish, destroy or otherwise adversely affect rights which OneMain Financial otherwise may have against any Subservicer, any other Seller, the OneMain Successor Servicer or the OneMain Successor Administrator or any other obligor, guarantor or Person, or against collateral, and that under the circumstances the waivers are reasonable.

OneMain Financial Holdings represents, warrants and agrees that each of the waivers set forth herein are made with OneMain Financial’s Financial Holdings’ full knowledge of their significance and consequences, with the understanding that events giving rise to any defense waived may diminish, destroy or otherwise adversely affect rights which OneMain Financial Holdings otherwise may have against the Servicer, any Subservicer, any other Seller, the Administrator, the OneMain Successor Servicer or the OneMain Successor Administrator or any other obligor, guarantor or Person, or against collateral, and that under the circumstances the waivers are reasonable.
