Common use of Signing Authority; Trustee’s Reliance Clause in Contracts

Signing Authority; Trustee’s Reliance. The Employer or the Administrator, as applicable, shall certify in writing to the Trustee the names and specimen signatures of all those who are authorized to act as or on behalf of the Employer or the Administrator (“Authorized Person”), and those names and specimen signatures shall be updated as necessary by a duly authorized officer of the Employer. The Employer or the Administrator, as applicable, shall promptly notify the Trustee if any person so designated is no longer authorized to act on behalf of the Employer or the Administrator. Until the Trustee receives written notice that an Authorized Person is no longer authorized to act on behalf of the Employer or Administrator, the Trustee may continue to rely on the Employer’s or Administrator’s designation of such person.

The Employer or A duly authorized officer of the Administrator, as applicable, Sponsor shall certify in writing to the Trustee the names and specimen signatures of the Administrator, and the Sponsor or Administrator shall notify the Trustee in writing of all those who are authorized to act as or on behalf of the Employer Sponsor or the Administrator (“collectively, "Authorized Person”), Representative") and those give the Trustee their names and specimen signatures signatures, which shall be updated as necessary by a duly authorized officer of the EmployerSponsor or Administrator. The Employer Sponsor or the Administrator, as applicable, Administrator shall promptly notify the Trustee if any person so designated is no longer authorized to act on behalf of the Employer Sponsor or the Administrator. Until the Trustee receives written notice that an Authorized Person a person is no longer authorized to act on behalf of the Employer Sponsor or Administrator, the Trustee may continue to rely on the Employer’s Sponsor's or Administrator’s 's designation of the identity and authority of such person, and any directions given by such Authorized Representative.
