Simultaneous Sales. At the Closing, the Company shall have simultaneously sold to the other Purchasers the principal amount of the Notes set opposite such other Purchasers' respective names on Exhibit A-2 hereto and shall have received from them payment therefor. PAYMENT, REGISTRATION, TRANSFER, EXCHANGE AND REPLACEMENT OF THE NOTES.
