Common use of Simultaneous Transactions Clause in Contracts

Simultaneous Transactions. All transactions to be effected under this Agreement at the Closing shall be deemed to occur in the order herein specified, if any, but shall occur nearly simultaneously, and no such transaction shall be deemed to have occurred unless all such transactions have occurred. All documents required to be delivered at the Closing by any party hereunder, including this Agreement, shall be deemed initially delivered in escrow and no such document shall be released therefrom until all documents have been delivered in escrow and payment received, whereupon all shall be deemed released together.
