Site Content. The Site and its entire content, features and functionality (including, but not limited to, certain graphics, photographs, images, screen shots, text, digitally downloadable files, trademarks, software, names, designs, displays, video and audio, logos, product and program names, slogans, and the compilation, design, selection and arrangement of the foregoing ("Site Content") is the property of the Company, its licensors and other providers of such material and is protected in the U.S. and internationally under trademark, copyright, patent, trade secret or other intellectual property or proprietary laws. You agree not to download, display or use any Site Content in connection with products or services that are not those of the Company, in any other manner that is likely to cause confusion among consumers, that dilutes the strength of the Company's, its licensor's or its other providers' property, or that otherwise infringes the Company's, its licensors' or its other providers' intellectual property rights. You further agree to in no other way misuse any Site Content or third-party content that appears on the Site. If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Site in breach of these Terms, your right to use the Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Site or any Site Content is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark and other laws. If you are a trademark or copyright owner and you believe that your trademark or copyright rights have been violated, please refer to the Section entitled "Error! Reference source not found.". Accessing the Site may require, without limitation, a stable internet connection and modern internet browser. You may provide Company with suggestions, enhancement requests, recommendations, corrections, or other feedback (collectively, "Feedback"). You grant to Company and its affiliates a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate into its Site the Feedback. Company reserves the right, in its sole discretion, to update, modify, or remove the features, functionality, or other aspects of the Site at any time.
Site Content a. The Site and its contents are intended solely for the use of end users of Products and employees of a Value Added Reseller or Distributor authorized and acting on behalf of an end user.
b. All content available through the Site (including, but not limited to, text, graphics, images, data, technical drawings, configurations) ("Content") are protected by international copyright laws and other laws and treaties, and owned or controlled by Licensor. User shall abide by all copyright notices, information and restrictions contained in any Content accessed through the Site.
c. The trademarks, logos and service marks ("Marks") displayed on the Site are the property of Licensor or other third parties. User is not permitted to use these Marks without the prior written consent of Licensor or such other third party, which may own the Xxxx.
d. User may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, without limitation, any of the Content or application software, in whole or in part.
e. User may download or copy the Content, and other items displayed on the Site where necessary for use of the Online Application, provided that User maintains all copyright and other notices contained in such Content. Copying or storing of any Content for other than internal, non-commercial use is expressly prohibited without prior written permission from Licensor.
Site Content. (a) The parties shall jointly own (50%/50%) all rights including copyright, in and to the original works created hereunder for the Site including derivative works based on existing works owned by either party.
(b) The parties shall jointly own (50%/50%) all rights including copyright in and to the compilation prepared by WNI comprised of the works including code set forth in (a) above. Such jointly owned property is hereinafter referred to as Site Content.
(c) WNI shall have the responsibility for registration of the copyright and trademark of the Site Content and Site Name in the United States Copyright Office and Trademark Office and in such other jurisdictions as the parties mutually agree. All such registrations shall be in the names of both parties.
Site Content. JOSH reserves the right, after having consulted the matter with Midasplayer, to deny Midasplayer the use of XCAP on any of the Sites in case they contain explicit material or other content that can be considered explicit, offensive or otherwise improper provided, furthermore, that such content is prohibited by law, or can otherwise be detrimental to JOSH, as determined by JOSH at its reasonable and well-founded discretion. Midasplayer shall bear any and all costs, if any, incurred by JOSH pertaining to the removal of XCAP and/or its components form the Sites.
Site Content. 3.1. If you require Us to update the site with additional materials provided by You (Materials), we shall provide you with an invoice outlining the time and costs it will take to update the Site. You shall ensure that the Materials do not infringe any applicable laws, regulations or third-party rights (such as material which is obscene, indecent, pornographic, seditious, offensive, defamatory, threatening, liable to incite racial hatred or acts of terrorism, menacing, blasphemous or in breach of any third party Intellectual Property Rights) (Inappropriate Content).
3.2. We shall include only the Materials on the Site. You acknowledge that We have no control over any content placed on the Site by Visitors and does not purport to monitor the content of the Site. We reserve the right to remove content from the Site where it reasonably suspects such content is Inappropriate Content. We shall notify You if We become aware of any allegation that content on the Site may be Inappropriate Content.
3.3. You shall indemnify Us against all damages, losses and expenses arising as a result of any action or claim that the Materials or any other material posted to, or linked to, the Site constitutes Inappropriate Content.
3.4. You shall indemnify Us against all damages, losses and expenses arising as a result of any action or claim that the Materials or any other material posted to, or linked to, the Site infringes any Intellectual Property Rights of a third party.

The information and materials found on this Site and/or reposted by Formidium and/or any third party to other websites and/or social media applications and/or other medium are not an offer to sell or a solicitation of an offer to buy any security or investment product or service. Such information and material may include certain articles and/or other materials which are only for educational and/or informational purposes. The information and materials on this site also are not a recommendation, endorsement, or solicitation for any investment manager or its services and/or the funds listed on the Site. Site Content. 10.1. All Material to be included in the Site shall be incorporated by BSC in one implementation during the design and development of the Site.
10.2. If the Customer requires BSC to include additional Material, it shall notify BSC of its requirements during the Acceptance Period. Any changes to the Material (which for the avoidance of doubt does not include any colour scheme or template changes) made during the Acceptance Period shall be made by BSC without charge to Customer. All other changes shall be charged to the Customer on a time and materials basis at BSC hourly rates from time to time.
10.3. Once the Acceptance Period has expired and/or the Site has been accepted by the Customer pursuant to Clause 5, any changes to the Site including changes to the Material shall be charged to the Customer on a time and materials basis at BSC hourly rates from time to time.
10.4. In relation to bespoke websites, all design features (including colour scheme, images and structure) shall be agreed in writing between BSC and the Customer prior to commencement of the Site build. Once the Site build has commenced, any Changes to such design features shall be charged to the Customer on a time and materials basis at BSC hourly rates from time to time.
10.5. The Customer shall ensure that the Material does not infringe any applicable laws, regulations or third party rights (including material which is obscene, indecent, pornographic, seditious, offensive, defamatory, threatening, liable to incite racial hatred, menacing, blasphemous or in breach of any third party Intellectual Property Rights) (“Inappropriate Content”).
Site Content. 10.1. The Customer shall be responsible for all content hosted on the Site. The Customer shall ensure that the Customer Materials do not infringe any applicable laws, the Acceptable Use Policy, regulations or third party rights (such as but not limited to material which is obscene, indecent, pornographic, seditious, offensive, defamatory, threatening, liable to incite racial hatred or acts of terrorism, menacing, blasphemous or in breach of any third party Intellectual Property Rights) (Inappropriate Content).
10.2. The Host shall include only the Customer Materials on the Site which the Customer has explicitly directed the Host to upload, or that the Customer has uploaded themselves. The Customer acknowledges that the Host has no control over any content placed on the Site by Visitors and does not purport to monitor the content of the Site. The Host reserves the right to remove content from, or suspend access to relevant parts of, the Site where it reasonably suspects such content is Inappropriate Content. The Host shall notify the Customer if it becomes aware of any allegation that content on the Site may be Inappropriate Content.
10.3. The Customer shall indemnify the Host against all damages, losses and expenses arising as a result of any action or claim that the Customer Materials or any other material posted to, or linked to, the Site constitutes Inappropriate Content or otherwise breaches any applicable Acceptable Use Policy in effect from time to time.
10.4. The Host may include the statement “Lovingly crafted by Mixd” in the footer of the Site in a form to be agreed.
Site Content. To the knowledge of the Company, no author or editor of any content created by an employee of the Company used in the Company’s products and services (the “Content”) has been paid any amount by any pharmaceutical manufacturer or any other person (other than the Company) in connection with or related to the subject matter of that portion of the Content authored or edited, as applicable, by such author or editor.

The Supplier shall notify the Customer immediately if it becomes aware of any allegation that any content on the Site may be Inappropriate Content.]
10.4 The Supplier shall indemnify the Customer against all damages, losses and expenses arising as a result of any action or claim that the content of the Site (other than the Materials) constitutes Inappropriate Content.
