Situs and Choice of Law. The situs of the Fund and the place of its administration shall be in the State of Connecticut and, after July 1, 2016, in the Commonwealth of Massachusetts. All questions concerning the validity, construction and effect of this Agreement and of the Fund hereunder, and the rights of any person having an interest hereunder, shall be determined exclusively according to the laws of the State of Connecticut.
