Situs of Trust. The Trust will be located in the State of Delaware and administered in the State of Illinois. All bank accounts maintained on behalf of the Trust shall be located in the States of Delaware, Illinois, New York or Minnesota, or such other States as directed by the Depositor. The Trust shall not have any employees in any state other than Delaware; provided, however, that nothing herein shall restrict or prohibit the Owner Trustee from having employees within or without the State of Delaware.
