Common use of SOFTWARE DEFECTS Clause in Contracts

SOFTWARE DEFECTS. 19.1. Supplier warrants that any Goods comprising computer hardware or software, and supplied by Supplier to GSK (the "Products"): 19.1.1. are free from viruses, defects, disabling codes, software routines or hardware components designed to permit (either automatically or through externally applied controls) unauthorised access or allow the Products to be disabled, have content erased, or otherwise be harmed (collectively, "Contaminants"), have been duly tested to ensure that there are no such Contaminants, and are subject to recognised and appropriate release procedures including the latest version of a proprietary virus detection software package approved by GSK, and Supplier shall procure that corresponding obligations are imposed with its sub-contractors or agents; 19.1.2. have been obtained from a reputable and reliable software developer and not through any interest group or multi- organisational software sharing scheme, and do not include any open source, freeware or shareware (unless otherwise agreed in writing in advance by GSK); and 19.1.3. will comply and function substantially in accordance with any related user documentation. 19.2. Supplier warrants that neither the performance nor the functionality of the Products will be adversely affected by any changes caused by the advent of a particular calendar date. 19.3. Supplier shall indemnify GSK and its Affiliates, and keep them indemnified, on demand from and against all Losses incurred or suffered as a result of or in connection with Supplier's breach of the warranties set out in clauses 19.1and 19.2 above.

Supplier shall indemnify GSK Kyowa Kirin and its Affiliates, and keep them indemnified, on demand from and against all Losses incurred or suffered as a result of or in connection with Supplier's breach of the warranties set out in clauses 19.1and Sections 19.1 and 19.2 above.

SOFTWARE DEFECTS. 19.118.1. The Supplier warrants that any Goods or Services comprising computer hardware or software, and supplied by Supplier to GSK Haleon (the "“Products"”): 19.1.118.1.1. are free from viruses, defects, disabling codes, software routines or hardware components designed to permit (either automatically or through externally applied controls) unauthorised unauthorized access or allow the Products to be disabled, have content erased, or otherwise be harmed (collectively, "Contaminants")harmed, have been duly tested to ensure that there are no such Contaminantshazards described above, and are subject to recognised recognized and appropriate release procedures including the latest version of a proprietary virus detection software package approved by GSKHaleon, and the Supplier shall procure will ensure that corresponding obligations are imposed with its sub-contractors or agents; 19.1.218.1.2. have been obtained from a reputable and reliable software developer and not through any interest group or multi- organisational multi-organizational software sharing scheme, and do not include any open source, freeware or shareware (unless otherwise agreed in writing in advance by GSKXxxxxx); and 19.1.318.1.3. will comply and function substantially in accordance with any related user documentation. 19.218.2. The Supplier warrants that neither the performance nor the functionality of the Products will be adversely affected by any changes caused by the advent of a particular calendar date. 19.318.3. The Supplier shall will indemnify GSK Haleon and its Affiliates, and keep them indemnified, on demand from and against all Losses incurred or suffered as a result of or in connection with the Supplier's breach of the warranties set out in clauses 19.1and 19.2 Sections 18.1 and 18.2 above.
