Software Functionality. The Software will have the following functionality:
Software Functionality. Each of the Software programs included in the Owned Intellectual Property is functional and operational substantially in accordance with the specifications and documentation of the Company relating to that Software in the ordinary course of the Company’s business. The Company possesses full and complete source and object code versions of all such Software.
Software Functionality. 3.1.1 Client’s election of the Subscribed Modules will be set forth in the Order Form, signed by both Ceridian and Client. Ceridian warrants that the Subscribed Modules and the Software shall substantially perform in accordance with the Software Functionality and Global Use Guide. Ceridian shall not be liable to remedy any failure of the Subscribed Modules and the Software resulting from the acts or omissions of Client or any third party (other than Ceridian Contractors), and is provided “as-is” and “as-available”. The Subscribed Modules and the Software may be used by Client outside the Territory in accordance with the terms of the Software Functionality and Global Use Guide. Without limiting the terms of the Software Functionality and Global Use Guide, Client acknowledges and agrees that certain country specific laws (including privacy laws) outside of the Territory may, from time to time, restrict or prohibit Client’s use of the Subscribed Modules and the Software, and Client is responsible for ensuring it is complying with such requirements.
Software Functionality a. Computer Application
Software Functionality. (a) “Named Users.” Subject to the terms and conditions of this Agreement, Customer may use the Services solely for Customer’s own internal use. As used herein, “Named User” means the end- user identified by name and authorized by Customer to use the Services pursuant to the terms of this Agreement. At Customer’s discretion and without limit, Named Users may be activated or de- activated by Customer removing security profiles from end-user accounts. . For the avoidance of doubt, every individual user of the Services must be established as a Named User and multiple persons may not, under any circumstances, share a Named User account.
Software Functionality. Business Partner has the right to modify its services in response to market and customer needs. Business Partner can make these modifications as long as the changes are greater than or equal to the current service level and does not materially change from the present BP software functionality.
Software Functionality. Each of the Software programs offered for use in the Company’s products or services or used in and material to the conduct of the Business that is included in the Owned Intellectual Property has been documented in accordance with the standard practices of the Company. The Company possesses full and complete source and object code versions of all such Software offered for use in the Company’s products or used in and material to the Business that is included in the Owned Intellectual Property.
Software Functionality. Each of the computer software programs listed in Section 3.11(j)(A) of the Seller Disclosure Schedule (the "Developed Programs") is operational substantially in accordance with the specifications and documentation of Moldflow relating to that software, and has been documented in accordance with the standard practices of Moldflow except as set forth in Section 3.11(j)(B) of the Seller Disclosure Schedule. Moldflow possesses full and complete source and object code versions of each Developed Program. Each Developed Program includes all items so that the Active Employees involved in such activities at the time of Closing can develop, maintain, support, compile and use the Developed Programs, except as set forth in Section 3.11(j)(B) of the Seller Disclosure Schedule.
Software Functionality. NCompass warrants that the Licensed Material, if operated as directed, will substantially achieve the functionality described in Schedule A and in its documentation. NCompass does not warrant that the use of the Licensed Material will be uninterrupted or that the operation of the Licensed Material will be error-free or secure.
Software Functionality. Swimlane Software is an on-premise security operations management platform that provides the following functionality • Centralized and standardized security alerts and operations activities • Automated response to security alerts and incidents and implementation of security controls • Dynamic production of metrics-based dashboard and reports
