Software Hosting Services. (a) Installation and Configuration. HMH will install and configure the Software and Services on the Hosting Environment (as defined below), and HMH will host the Software and any Customer Materials used in conjunction with the Services for Customer using the Hosting Environment (as defined below) during the Hosting Term for so long as Customer’s license to the applicable Software continues to be effective. After Customer has accepted this Agreement, or executed and submitted the Cover Sheet and applicable purchase order(s) to HMH, HMH will begin such installation and configuration in accordance with a mutually agreed upon schedule.
Software Hosting Services. In addition to Part 1, this Part 4 comprising Clause 21 shall apply to Software Hosting Service.
Software Hosting Services. If Customer purchases Software Hosting Services, Checkmarx provide the Hosting Services to Customer during the Subscription Term in accordance with the service levels located at xxxxx://xxx.xxxxxxxxx.xxx/legal/terms, as updated from time to time by Checkmarx. Hosting Service orders require a hosting Quote setting out the quantity and type of Hosting Services to be provided.
Software Hosting Services. Licensor will engage the services and computer facilities of an experienced and competent ASP to host the Software on the ASP's computer server for access by Licensee, Sublicensees and Customers. Licensor warrants and covenants that the hosting services and facilities of the ASP will enable Licensee, Sublicensees and Customers to access Bingo Tournaments and utilize the Software at all times, on a 24 hours per day, 7 days per week, 365 days per year basis. Licensor will continue to remain responsible for the due performance of its obligations under this Agreement notwithstanding the engagement of the ASP.
Software Hosting Services. The following information applies to hosted Software Services.
Software Hosting Services. 14.1. If specified in a Quotation, we will supply Software Hosting Services at the Data Centre or at the Specified Location.
14.2. You must not damage, or engage in any unauthorised activity (including any unauthorised access or interference) with respect to, any of Our Equipment, the Data Centre or any third party property or equipment.
14.3. We make no representation with respect to the speed of your LAN, WAN or Internet connection and as such we do not guarantee the performance of any part of the Software Hosting Services for factors outside of our reasonable control, including modem speeds, WAN speeds, ISP reliability or LAN traffic and connectivity to the Data Centre.
14.4. You must not access the Data Centre. Our Personnel can access the Data Centre for the purposes of installing, operating, maintaining, and repairing the applicable Ordered Products and Services.
14.5. You agree that you will maintain at least 1 additional current copy of Your Data stored on Our Cloud in a separate location other than Our Cloud.
14.6. If you ask us to custom configure our Software Hosting Services, we make no representation or warranty whatsoever regarding any such customised Software Hosting Services and we shall not be liable to you for any loss or damage arising from the provision of such customisation apart from any non-excludable guarantees under Applicable Law.
Software Hosting Services. NAVEX™ will provide Subscriber with SaaS/hosted access to the online Software and Hosting System and will provide for the storage and retrieval of Subscriber Data in connection with use of the Software. Subscriber is responsible for obtaining, and maintaining its own access to the Internet using software and hardware that meet Subscriber’s minimum requirements, including security requirements.
Software Hosting Services a. Except as specifically permitted in this Agreement, Customer shall have web-based access the Software hosted by Provider pursuant to this Agreement.
b. Provider shall provide Customer with access and related hosting services to the Software installed on Provider’s servers. Provider will also install the Content provided by Customer. Provider will define the appropriate performance specifications and will host the server at a Provider’s location. Provider will monitor and perform routine maintenance on the server, and if the server is not operating properly, will make a good faith effort to operate Customer’s system on a backup server, if available. Access to Customer’s server is restricted to authorized Provider information technology and support personnel only. Differential and full server backups are performed when reasonably practicable.
c. Customer shall be responsible for installing, operating and maintaining the equipment, software, and/or facilities at Customer location recommended by Provider for effective access to and use of the Software installed on Xxxxxxx Systems server. Customer shall be responsible for providing and maintaining its own Internet access and all necessary telecommunications equipment at Customer’s location necessary for accessing the Software.
d. Upon termination, for any reason, of the Agreement or any license(s) granted herein, Provider shall immediately cease providing access to the Software and Hosting Services. Customer shall (i) immediately stop access and use of all such Provider confidential information (including Software); (ii) shall return all copies of the Software, Documentation, and any Provider confidential information to Provider; and (iii) delete all Software, Documentation, and other confidential information off of any and all storage media possessed or controlled by Customer. Customer shall provide Provider with written certification signed by an officer of Customer that Customer has complied with the provisions of this Section. Customer shall immediately pay all amounts due to Provider.
Software Hosting Services. Supplier will provide to the University the hosting, management and operation of the Software and other services for remote electronic access and use by the University and its end users. For purposes of this Agreement, “Software” means the software described in the Statement of Work necessary to operate the connectivity and core functionality of the Equipment and any data processing and reporting functionality related to the Equipment.

Licensor warrants and covenants that the hosting services and facilities of the ASP will at all times satisfy the performance requirements set out in Schedule C.
