Software License Fee. 1. Pricing for the Software licenses is stipulated in the Price List and the applicable Discount Letter and will be specified in each Software order.
2. In consideration of the Delivery of the Software, Distributor will pay to SAP the fee for the Software ordered for any Open Ecosystem Partner as set out in the corresponding Software order.
3. In case of Physical Shipment, Distributor will have to pay the costs of delivery and packaging.
4. In case of Electronic Delivery, SAP will make the relevant Software available for download at its own cost; Distributor will bear the costs for downloading the Software and Documentation.
5. The fee for the Software ordered for an Open Ecosystem Partner will be invoiced after Delivery of the relevant Software.
Software License Fee. If either Party elects to utilize, sublicense or distribute Software of the other Party in a Product, a reasonable Software License Fee (“SLF”) or other form of mutually agreed compensation shall be negotiated with, and paid to, the Party from whom such Software was acquired.

Software License Fee. In exchange for perpetual access to the Licensed Software for up to 25,000,000 Authorized Devices, Licensee shall pay Licensor the Software License Fee of $3,000,000.00 (which includes the first year Annual Maintenance Fee of 20%). Upon the Effective Date, Licensor shall invoice and Licensee shall pay Licensor Software License Fee in increments as follows: $1,000,000.00 by June 15, 2018; $1,000,000.00 by September 30, 2018 (or the next succeeding business day thereafter); and $1,000,000.00 by December 31, 2018.
