Common use of Software License Termination Clause in Contracts

Software License Termination. 6.11.1 Customer may terminate the Software license at any time upon written notice to Grass Valley. 6.11.2 Grass Valley may immediately terminate the Software license if Customer breaches these Terms and Conditions and such breach is not cured within thirty (30) days’ notice thereof, including, without limitation, any failure to pay fees when due or any unauthorized use or disclosure of the Software or any copy, portion, extract or derivative thereof or of any other Confidential Information. If the Software has been provided to Customer for trial use or otherwise for a specific time period (including any time-out, key or similar mechanism), the Software license shall immediately terminate upon expiration of such time period. Grass Valley may also terminate the Software license upon written notice to Customer if Customer (a) files for or becomes subject to any proceedings under any bankruptcy or insolvency laws or initiates any action under any such laws for bankruptcy, reorganization, or liquidation, (b) makes a general assignment for the benefit of creditors, (c) fails to generally pay its debts as they become due, or (d) dissolves or fails or ceases to continue business in the ordinary course.
