Common use of Software License Type and Licensing Model Clause in Contracts

Software License Type and Licensing Model. The Software is broken out into separately licensed software products (each a “Software Module”) each of which is licensed subject to certain additional Use (described below) restrictions (e.g. Named User) (the “Licensing Model”). insightsoftware has created a license guide located at xxxxx://xxxxx.xxxxxxxxxxxxxxx.xxx/contracts/license-guide-eng-v021422.pdf (“License Guide”) that is hereby incorporated by reference and provides definitions of insightsoftware’s general Licensing Models as well as a link to “Module Licensing Descriptions” for certain Software Modules. The “Deployment Type” (i.e., SaaS Software and On-Premise Software) and “Licensing Model” associated with each Software Module may be set forth on the Purchase Document or it may be defined in the Module Licensing Description. If a Licensing Model for a Software Module is not listed on an Purchase Document or in the Module Licensing Description, the Licensing Model shall be deemed to be “Named User.” The Purchase Document will also specify the number of Units Licensed, where applicable. “Units Licensed” shall mean the quantity of licenses permitted under the Agreement for a particular Licensing Model (e.g. 5 Named Users).
