Sole and Absolute Discretion; Cooperation. (a) The Xxxxxx Mae Board shall, in its sole and absolute discretion, determine the timing of the Distribution and the conditions to the consummation of the Distribution. In addition, Existing SLM may, at any time and from time to time until the Effective Time, delay the timing of, or cancel, the Distribution. For the avoidance of doubt, nothing in this Agreement shall in any way limit the right of the Xxxxxx Xxx Board to terminate the Distribution or cancel this Agreement and the Ancillary Agreements prior to the Effective Time.
