Sole Owner, No Encumbrances. The Seller is the sole owner and holder of each FFELP Loan and has full right and authority to sell and contribute the same free and clear of all liens, claims or encumbrances; and immediately prior to the transfer of each FFELP Loan by the Seller, each such FFELP Loan is free of any and all liens, claims, encumbrances and security interests of any description.

All such assets are suitable for the uses to which they are being put or have been put in the Ordinary Course of Business and are in good working order, ordinary wear and tear excepted.
