Common use of Solicitation and Voting of Shares Clause in Contracts

Solicitation and Voting of Shares. (i) The Company shall recommend that its Stockholders vote in favor of the slate of director nominees nominated in accordance with Section 7.2(a) and use its commercially reasonable efforts to solicit from the Stockholders eligible to vote for the election of directors proxies in favor of the director nominees nominated in accordance with Section 7.2(a).

(i) The Company shall recommend that its Stockholders stockholders vote in favor of the slate of director nominees nominated in accordance with Section 7.2(a8.2(a) and Section 8.3(b) and use its commercially reasonable efforts to solicit from the Stockholders stockholders of the Company eligible to vote for the election of directors proxies in favor of the director nominees nominated in accordance with Section 7.2(a8.2 and Section 8.3(b).

(i) The Company shall recommend that its Stockholders stockholders vote in favor of the slate of director nominees directors nominated in accordance with Section 7.2(a7.2 and Section 7.3(b) and use its commercially reasonable efforts to solicit from the Stockholders stockholders of the Company eligible to vote for the election of directors proxies in favor of the director Board nominees nominated selected in accordance with Section 7.2(a7.2 and Section 7.3(b).

(i) The Company Board of Directors shall recommend that its Stockholders stockholders vote in favor of the slate of director nominees an Investor Nominee nominated in accordance with Section 7.2(a1.2 or Section 1.3(b) and use its commercially reasonable efforts to solicit from the Stockholders stockholders of the Company eligible to vote for the election of directors proxies in favor of the director nominees Investor Nominee nominated in accordance with Section 7.2(a)herewith.
