Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received an Officer's Certificate dated the Closing Date, substantially in the form of Exhibit IX annexed hereto and with appropriate attachments, demonstrating that, after giving effect to the consummation of the transactions contemplated by the Credit Documents, Borrowers, taken as a whole, and Company will be Solvent.
Solvency Assurances. The Administrative Agent shall have received a certificate from a Financial Officer of the Borrower to the effect that, as of the Effective Date and after giving effect to the initial Loans hereunder and to the other Transactions:

On the Closing Date, the Lenders shall have received a financial condition certificate dated the Closing Date, substantially in the form of Exhibit E annexed hereto and with appropriate attachments demonstrating that, after giving effect to the consummation of the Transactions, the Company and its Subsidiaries taken as a whole will be solvent.
Solvency Assurances. On the Closing Date, Administrative Agent and Lender shall have received a certificate executed by a Financial Officer of Company dated the Closing Date, in form and substance satisfactory to the Administrative Agent and with appropriate attachments, demonstrating that, after giving effect to the consummation of the transactions contemplated by the Loan Documents on the Closing Date, Company and its Subsidiaries on a consolidated basis will be Solvent.
Solvency Assurances. Administrative Agent and Lenders shall have received an Officer’s Certificate of Company dated as of the date hereof as to solvency matters in form and substance reasonably satisfactory to Administrative Agent.

On the Closing Date, Administrative Agent and Lenders shall have received a Financial Condition Certificate executed by the Chief Financial Officer of Company dated the Closing Date, substantially in the form of Exhibit XIII annexed hereto and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of the Recapitalization, the related financings and the other transactions contemplated by the Loan Documents and the Related Agreements, Company will be Solvent.
Solvency Assurances. On the Effective Date, Administrative Agent and Lenders shall have received an Officer’s Certificate of Borrower dated the Effective Date, substantially in the form of Exhibit XI annexed hereto and with appropriate attachments, demonstrating that, after giving effect to the consummation of the Transactions and the transactions contemplated by the Loan Documents, Borrower, in its individual capacity, and Borrower and its Subsidiaries, on a consolidated basis, will be Solvent.
Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received an Officer's Certificate of the chief financial officer of Holdings dated the Closing Date, substantially in the form of Exhibit XI annexed hereto and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of the transactions contemplated by the Loan Documents, Holdings, the Borrowers and each guaranteeing Subsidiary on a consolidated basis will be Solvent.
Solvency Assurances. On the Closing Date, Agent and Lenders shall have received a Financial Condition Certificate dated the Closing Date, substantially in the form of Exhibit XIX annexed hereto.
Solvency Assurances. On the Closing Date, the Lenders shall have received a Financial Condition Certificate from the Borrowers dated the Closing Date, substantially in the form of Exhibit G hereto and with appropriate attachments and otherwise reasonably satisfactory to the Arranger, in each case demonstrating that, after giving effect to the transactions contemplated by this Agreement including the borrowing of the full amount of Commitments as contemplated hereunder, and the other Loan Documents, the Borrowers will be Solvent.
