Common use of Solvency Assurances Clause in Contracts

Solvency Assurances. On the Closing Date, Agent and Lenders shall have received a Financial Condition Certificate dated the Closing Date, substantially in the form of Exhibit XIX annexed hereto.

Solvency Assurances. On the Closing Date, Agent Agents and Lenders shall have received a Financial Condition Certificate dated the Closing Date, substantially in the form of Exhibit XIX XII annexed heretohereto and with appropriate ----------- attachments, in each case demonstrating that, after giving effect to the consummation of the Merger, the sale of the Fort Xxxxx MSA Cellular System, the related financings and the other transactions contemplated by the Loan Documents and the Related Agreements, Company will be Solvent.

Solvency Assurances. On the Closing Date, each Agent and Lenders shall have received a Financial Condition Certificate dated the Closing Date, substantially in the form of Exhibit XIX annexed heretohereto and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of the Acquisition the related financings and the other transactions contemplated by the Loan Documents and the Related Agreements, Company will be Solvent.

Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received a Financial Condition Certificate dated the Closing Date, substantially in the form of Exhibit XIX EXHIBIT XI annexed heretohereto and with appropriate attachments, in 72 each case demonstrating that, after giving effect to the Transactions and the related transactions contemplated by the Loan Documents, the Company will be Solvent.

Solvency Assurances. On the Closing Date, Agent and Lenders shall have received a Financial Condition Certificate dated the Closing Date, substantially in the form annexed hereto as Exhibit VIII and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of Exhibit XIX annexed heretothe Xxxxxxxx'x acquisition and the financing transactions contemplated hereby, Company and its Subsidiaries, taken as a whole, will be Solvent.
