Source Code License. Subject to the terms and conditions of this XXXX, if You separately acquire a Source Code License, You are licensed to use the Source Code. A separate independent Source Code License is also required for each affiliate or subsidiary using the SOFTWARE. i. You expressly do not have, and are not granted the right to use the Source Code to create any derivative works. ii. You expressly do not have, and are not granted the right to modify the SOFTWARE or its Source Code in any way unless the appropriate Source Code modification license has been purchased. iii. Under no circumstances may the Source Code or any portion thereof be distributed, disclosed or otherwise made available to any third party outside of Your organization. iv. GC shall retain all rights, title and interest in and to the licensed Source Code, and all GC updates, modifications or enhancements thereof. Nothing herein shall be deemed to transfer any ownership or title rights in and to the licensed Source Code from GC to You. v. THE SOURCE CODE IS PROVIDED TO YOU AS IS. Source Code License. Licensor grants to GE a non-exclusive, perpetual, irrevocable, license upon a release event to use, copy, maintain, modify and enhance (either itself or through third-parties) the source code of the Software, and any runtime software necessary to execute the Software, including but not limited to compilers, interpreters and templates, and to use such materials to prepare Derivative Works of each Software; and assemble or compile additional copies of each Software, including the Derivative Works so prepared. “Derivative Work” means any revision, enhancement, modification, translation, abridgement, condensation, expansion, or extension related to the Product. A Derivative Work shall also include any compilation that incorporates a preexisting work related to the Product.

Source Code License. If the Product Licensee receives hereunder contained software modules or components in source code format ("Software Source Code"), the following shall apply to such Software Source Code, in addition to all other provisions of this Agreement: The Licensee may use such Software Source Code only in conjunction with the Product and the Software Source Code or any derivative works thereof. The Software Source Code may only be compiled and linked with products from IAR Systems, and only in accordance with the provisions on such use set out in the Documentation and/or this Agreement. THE LICENSEE ACKNOWLEDGES THAT THE SOFTWARE SOURCE CODE EMBEDS COPYRIGHTED AND PROPRIETY INFORMATION OF IAR SYSTEMS, AND THAT MAKING SOFTWARE SOURCE CODE ACCESSIBLE TO OTHERS OUTSIDE THE SCOPE OF THIS AGREEMENT, BY THE NATURE OF SOURCE CODE, SEVERELY DAMAGES THE INTELLECTUAL PROPERTY RIGHTS OF IAR SYSTEMS, AND AGREES TO COMPENSATE IAR FOR ALL DAMAGE RESULTING FROM SUCH BREACH, THAT CAN BE REASONABLY SUBSTANTIATED BY IAR. The Licensee shall keep and protect the Software Source Code with at least the same degree of care as its own proprietary source code, as further specified in section 5.

Source Code License. CONTRACTOR agrees to provide Metro Government a source code license and will provide, as part of deliverable, source code that is developed as part of this contract, including any customizations.
