The Sourcing Arrangements clause defines how goods, services, or materials will be obtained or supplied under the agreement. Sourcing Arrangements. Not more than 1% (by dollars spent) of the medical consumables, medical instruments and medical equipment, taken as a whole, purchased, sourced or otherwise obtained by the Company and its Subsidiaries, is purchased, sourced or otherwise obtained from a Person other than either (a) the original manufacturer, or (b) a primary wholesale distributor of medical devices that (i) purchases, sources or obtains all of such devices directly from the original manufacturer of such devices or (ii) is authorized by the original manufacturer to resell such devices to another distributor (all such medical consumables, medical instruments and medical equipment, collectively, “ASV Product”).
Sourcing Arrangements. Such Loan Party shall, and shall cause each of its Subsidiaries to, maintain at all times its existing sourcing arrangements or a replacement thereof which shall allow such Loan Party or Subsidiary, as the case may be, to maintain an uninterrupted flow of Inventory from overseas sufficient for the Borrower to satisfy the levels of Inventory and assumptions related thereto as reflected in the Latest Projections.
Sourcing Arrangements. All of the pharmaceutical products and medical consumables purchased, sourced or otherwise obtained by the Company and the Subsidiaries are purchased, sourced or otherwise obtained from a Person that is the original manufacturer or its authorized distributor.
