Common use of SOX Compliance Clause in Contracts

SOX Compliance. The Company has taken all necessary actions to ensure that, at the Effective Time of the Registration Statement, it will be in compliance in all material respects with all provisions of the Xxxxxxxx-Xxxxx Act of 2002 and all rules and regulations promulgated thereunder or implementing provisions thereof (collectively, the “Xxxxxxxx-Xxxxx Act”) that are then in effect and with which the Company is required to be in compliance with as of the Effective Time of the Registration Statement (taking into account all exemptions and phase-in periods provided under the Jumpstart Our Business Startups Act and otherwise under applicable law).

The Company has taken all necessary actions to ensure that, at the Effective Time Date of the Registration Statement, it will be in compliance in all material respects with all provisions of the Xxxxxxxx-Xxxxx Act of 2002 and all rules and regulations promulgated thereunder or implementing provisions thereof (collectively, the “Xxxxxxxx-Xxxxx Act”) that are then in effect and with which the Company is required to be in compliance with as of the Effective Time Date of the Registration Statement (taking into account all exemptions and phase-in periods provided under the Jumpstart Our Business Startups Act and otherwise under applicable law).

The Company has taken all necessary actions to ensure that, at and at all times after the Effective Time of the Registration Statement, it will be in compliance in all material respects with all provisions of the Xxxxxxxx-Xxxxx Act of 2002 and all rules and regulations promulgated thereunder or implementing provisions thereof (collectively, the “Xxxxxxxx-Xxxxx Act”) that are then in effect and effect, with which the Company is required to be in compliance with as of the Effective Time of the Registration Statement (taking into account all exemptions and phase-in periods provided under the Jumpstart Our Business Startups Act and otherwise under applicable law)) and will take all necessary actions to ensure that it will be in compliance in all material respects with other applicable provisions of the Xxxxxxxx-Xxxxx Act not currently in effect upon it and at all times after the effectiveness of such provisions.
