Special Allocations Regarding Class B Units Clause Samples
The "Special Allocations Regarding Class B Units" clause defines how profits, losses, and other tax-related items are specifically allocated to holders of Class B Units within a partnership or company. This clause typically outlines unique rules or exceptions that differ from the standard allocation provisions, such as granting Class B Unit holders priority in receiving certain distributions or assigning them specific tax attributes. Its core function is to ensure that the economic and tax consequences for Class B Unit holders reflect the intended deal structure, thereby providing clarity and preventing disputes over how income and losses are shared among different classes of equity.
