Other than telecom relay service tax (“TRS Tax”) and fees payable to certain states, which states have been disclosed in writing to Buyer prior to the Closing, which will be payable upon certification, ATI has no existing or pending liabilities, obligations or deferred payments due to any federal, state or local government agency or entity in connection with its business or with any program sponsored or funded in whole or in part by any federal, state or local government agency or entity, nor is ATI or Singer aware of any threatened action or claim or any condition that could support an action or claim against ATI, the Acquired Assets or the Business for any of said liabilities, obligations or deferred payments.
Special Government Liabilities. Seller has no existing or pending liabilities, obligations or deferred payments due to any federal, state or local government agency or entity in connection with its business or with any program sponsored or funded in whole or in part by any federal, state or local government agency or entity, nor to the Seller knowledge of Seller is there any threatened action or claim or any condition that would reasonably be expected to support an action or claim against the Seller, the Acquired Assets or the Business for any of said liabilities, obligations or deferred payments.
Special Government Liabilities. MDE has no existing or pending liabilities, obligations or deferred payments due to any federal, state or local government agency or entity in connection with its business or with any program sponsored or funded in whole or in part by any federal, state or local government agency or entity, nor are the MDE Members or Seller aware of any threatened action or claim or any condition that could support an action or claim against MDE or the MDE Business for any of said liabilities, obligations or deferred payments.
Special Government Liabilities. PVS has no existing or pending liabilities, obligations or deferred payments due to any federal, state or local government agency or entity in connection with its business or with any program sponsored or funded in whole or in part by any federal, state or local government agency or entity, nor is PVS or KS or LS aware of any threatened action or claim or any condition that could support an action or claim against PVS, the Business for any of said liabilities, obligations or deferred payments.
Special Government Liabilities. Munzee has no existing or pending liabilities, obligations or deferred payments due to any federal, state or local government agency or entity in connection with its business or with any program sponsored or funded in whole or in part by any federal, state or local government agency or entity, nor are the Munzee Owners or Seller aware of any threatened action or claim or any condition that could support an action or claim against Munzee or the Business for any of said liabilities, obligations or deferred payments.
Special Government Liabilities. Capaciti has no existing or pending liabilities, obligations or deferred payments due to any federal, state or local government agency or entity in connection with its business or with any program sponsored or funded in whole or in part by any federal, state or local government agency or entity, nor is Capaciti or Seller aware of any threatened action or claim or any condition that could support an action or claim against Capaciti or the Capaciti Business for any of said liabilities, obligations or deferred payments.
Special Government Liabilities. AHI has no existing or pending liabilities, obligations or deferred payments due to any federal, state or local government agency or entity in connection with its business or with any program sponsored or funded in whole or in part by any federal, state or local government agency or entity, nor is AHI or Seller aware of any threatened action or claim or any condition that could support an action or claim against AHI or its business for any of said liabilities, obligations or deferred payments.
Special Government Liabilities. A-Best has no existing or pending liabilities, obligations or deferred payments due to any federal, state or local government agency or entity in connection with its business or with any program sponsored or funded in whole or in part by any federal, state or local government agency or entity, nor are A-Best or Seller aware of any threatened action or claim or any condition that could support an action or claim against A-Best or the Business for any of said liabilities, obligations or deferred payments. 特别政府债务。 A-Best没有任何联邦，州或地方政府机构或实体因其业务或任何由任何联邦，州或地方政府机构或实体全部或部分资助或投资的计划而产生或未决的债务，义务或延期付款，也没有A-Best或卖方所知的任何受到威胁的诉讼或索赔，或任何可能支持针对任何上述责任，义务或延期付款而针对A-Best或业务的诉讼或索赔的条件。

PWT has no existing or pending liabilities, obligations or deferred payments due to any federal, state or local government agency or entity in connection with its business or with any program sponsored or funded in whole or in part by any federal, state or local government agency or entity, nor are the PWT Shareholder or Seller aware of any threatened action or claim or any condition that could support an action or claim against PWT or the Business for any of said liabilities, obligations or deferred payments.
