Special Provision with Respect to Certain Terminations. Notwithstanding the foregoing paragraph (b), in the event that any Separate Investment Account's then current Portfolio Manager or group of associated Portfolio Managers is terminated as Portfolio Manager of a Separate Investment Account (whether pursuant to the termination of this Agreement or the termination of any such Portfolio Manager or group of associated Portfolio Managers in accordance with the Registration Statement) at a time when such Separate Investment Account has a net profit, the Fund will be required to pay an Incentive Fee to the Investment Adviser with respect to such Separate Investment Account calculated in a manner as if such termination date were the last day of a Fiscal Period ending concurrently with the Fund's fiscal year end.
