SPECIAL RIGHT OF EMPLOYEE UNDER CERTAIN CIRCUMSTANCES. During the term ----------------------------------------------------- of this Agreement, if (i) Employer is involved in a merger, consolidation or other business combination in which Employer is not the surviving and controlling entity; or (ii) all or substantially all the assets of Employer or its principal subsidiary are sold; or (iii) in the event Employee is required to relocate outside the Pheonix metropolitan area in a manner not mutually acceptable to Employee and Employer, then Employee shall have the following rights:
