SPECIFIC CONDITION PRECEDENT. As the US Parent has required the transfer of the domain name "massxxxxx.xx" xx a condition precedent to Closing, in consideration of the transactions contemplated herein, Mr. Xxxx Xxxxxxxx, who owns the majority of the capital of Forum on the Net SARL (which company owns the domain names "massxxxxx.xx", "ebay.xx" xxd the trademark "eBay"), has offered to put it as a condition precedent to Closing that such domain names and trademark be transferred to iBazar upon Closing, in a spirit of good cooperation with the US Parent, which the other Contributors wish to join. It is proposed that this condition precedent be fulfilled through the transfer of the totality of the shares of Forum on the Net to iBazar for nominal consideration. Consequently, should this be the solution confirmed by the Parties, the French Individual Shareholders
