Common use of Specific Defaults Clause in Contracts

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b), 4.3(a), 4.6, 4.9(a)-(c), Article V or Article VI hereof; or

(i) Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b), 4.2(d), 4.2(g), 4.3(a), 4.6, 4.9(a)-(c)4.9, 4.14, Article V or Article VI hereof; orhereof or (ii) any Credit Party fails to perform or observe any term, covenant or agreement contained in Section 4.18 and, in the case of this subclause (ii), such failure to perform or observe shall continue unremedied for a period of seven (7) days;” (ii) Section 7.1(n) is hereby amended and restated in its entirety to read as follows:

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b)4.2, 4.3(a)4.3, 4.4, 4.6, 4.9(a)-(c)4.7, 4.9, 4.10, 4.12, 4.14, 4.16, Article V or Article VI hereof; or

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.15.1, 4.2(b5.2(b), 4.3(a5.3(a), 4.65.6, 4.9(a)-(c5.9(a)-(c), Article V VI or Article VI hereofVII hereof (subject to Section 7.3) or any Fee Letter; or

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(a), 4.2(b), 4.3(a), 4.6, 4.9(a)-(c4.9, 4.10, 4.14 or 9.10(d), Article V or Article VI hereofhereof or the Fee Letter; or

Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b4.3(a) or 9.10(d), 4.3(a)4.9, 4.64.10, 4.9(a)-(c), 4.11 or 4.15 or Article V or Article VI hereof; orVI; 2.11. Addition of New Section 7.1(k) (Asset Dispositions). A new Section 7.1(k) is added to the Agreement as follows:

Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1subsection 4.2(a), 4.2(b), 4.3(a), 4.6, 4.9(a)-(c4.4(a) or 9.10(d), Section 4.1, 4.9, 4.10 or 4.17 or Article V of this Agreement or Article VI hereof; orthe Engagement Letter;

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1subsection 4.2(b), 4.2(b4.2(d), 4.3(a), Section 4.1, 4.6, 4.9(a)-(c)4.9, 4.10 or 4.11 or Article V or Article VI hereof; orVI;

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1Section 5.1, 4.2(b5.2(a), 4.3(a5.2(c), 4.6, 4.9(a)-(c5.3(a), Article V 5.6(i)(A), 5.9, 5.10, 5.11 or 10.10(b) or Article VI hereof; oror VII;

Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b), 4.2(d), 4.2(g), 4.3(a), 4.6, 4.9(a)-(c)4.9, 4.14, Article V or Article VI hereof; or, or the UK Borrower fails to comply with clauses 4.2 or 10.1 of the UK Debenture;

Any Credit Party fails to (i) perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b), subsection 4.3(a), 4.6subsection 4.4(a) (in respect of Holdings or the Borrower), 4.9(a)-(c)Section 4.10, Article V or Article VI hereofor (ii) deliver any of the financial statements, certificates and other information required to be delivered pursuant to Section 4.1 or subsection 4.2(a) or 4.2(b) within five (5) Business Days following the stated delivery date therefor; or
