SPECIFIC INDEMNIFICATION AGREEMENT. The STOCKHOLDERS shall have delivered a specific indemnification agreement in favor of MARINEMAX and NEWCO, in form and content satisfactory to MARINEMAX in its sole discretion, pursuant to which the STOCKHOLDERS shall agree to hold MARINEMAX and NEWCO harmless for, from and against certain specific items for which indemnification shall be required.
