Specific Payment Priorities Sample Clauses

Specific Payment Priorities. Subject to Section 7.2(b) hereof, any distributions of Net Cash Flow to the Members under Section 4.1 (other than Tax Distributions) hereof shall be made in the order of priority set forth below: (a) First, to any Member that has a Preferred Interest pursuant to Section 3.4(a) until such Member has been paid in full an amount, taking into account all prior distributions under this Section 4.3(a), equal to the amount of Capital Contributions that are treated or paid as Preferred Interest pursuant to Section 3.4(a)(i) plus cumulative dividends pursuant to Section 3.4(a)(ii); (b) Second, to all Members until each Member has been paid in full an amount, taking into account all prior distributions under this Section 4.3(b), equal to all Capital Contributions it made pursuant to Sections 3.1, 3.2, 3.3 and 3.4; and (c) Third, the balance, if any, to the Members in accordance with their respective Percentage Interests.
