Specific Power and Authority of Managers. The Managers shall have, subject to any limitations imposed elsewhere in this Operating Agreement, the power and authority on behalf of the Company to do or cause to be done any and all acts deemed by the Managers to be necessary or appropriate in connection with the management and operation of the business of the Company and the development, production, distribution and other exploitation of the Series and each Musical. Without limiting the generality of the foregoing, the Managers may at any time, in their sole collective discretion and without further notice to, or consent from, any non-Manager Unit Holder:
