Common use of Specific Protection of Administrator Clause in Contracts

Specific Protection of Administrator. To the greatest extent permitted under applicable law, and notwithstanding anything to the contrary herein, in no event shall the Administrator have any liability whatsoever to any party to this Agreement or other Person(s) having rights hereunder, if any, for any act or omission taken or omitted by the Administrator in accordance with the instructions of the Organizer or the Advisor, and each Member hereby knowingly, having had an opportunity to consult with counsel of its choosing, irrevocably waives and releases the Administrator from any claims resulting from, in connection with, or relating to any such action or omission.
