Specified Person. If the Company is a public company and Employee is a "specified person" under § 409A at the time that Employee has a separation from service, the payment of any severance under § 12(b) of the Amended Employment Agreement and any payments due under this § 30 shall be suspended until the date of Employee's death or the date which is 6 months and one day after the date of Employee's separation from service, whichever comes first, at which time all payments then due at the end of such suspension shall be paid in a lump sum.
Specified Person. For the purposes of this definition, "control" when used with respect to any specified Person means the power to direct the management and policies of such Person, directly or indirectly, whether through the ownership of voting securities, by contract or otherwise; and the terms "controlling" and "controlled" have meanings correlative to the foregoing.

Specified Person. Notwithstanding that the Client under any Services Order may not be Crest Xxxxxxxxx unless specifically stated in the Services Order to the contrary Crest Xxxxxxxxx shall have full authority to receive and issue applications, consents, instructions, notices (including, but not limited to, any Payment Notice or Pay Less Notice), requests or statements and otherwise act for the Client under any of these Terms and Conditions. The Client may at any time revoke the whole or any part of Crest Nicholson's authority and the Consultant is entitled to rely on such authority until it receives by notice in writing from the Client of such revocation.
Specified Person. The Service Provider agrees that the Ordered Services will be performed by the Specified Person in accordance with this Contract. For the avoidance of doubt, the Participant is not entitled to substitute any other Personnel for the Specified Person. If the Specified Person is unable to perform the work as required under clause 2.3.1, the Service Provider agrees to notify Finance immediately and Finance may, at its sole discretion, terminate the Contract in accordance with clause 8.2. The Service Provider agrees, at the request of the Agency acting in its absolute discretion, to remove Personnel (including the Specified Person) from work in relation to the Ordered Services. The Service Provider must, and ensure that the Specified Person will, when performing Ordered Services Onsite, comply with all reasonable directions and procedures relating to work health and safety and security in operation at those premises or facilities (including any smoke-free workplace policy) whether specifically drawn to the attention of the Service Provider or as might reasonably be inferred from the circumstances. The Service Provider must, and must inform the Specified Person that they must, refuse any direct requests from the Sponsoring Agency to be involved in providing advice and guidance between Assurance Reviews as this could compromise the Service Provider and Specified Person’s independence and eligibility for subsequent Assurance Reviews. This clause 2.4 survives expiry or earlier termination of this Contract.

7.4.2 The Consultant shall ensure that the Specified Person undertake work in respect of and in accordance with the terms of this Agreement and therefore shall not delegate tasks to associates, sub-contractors or others.
7.4.3 Where the specified person is unable to undertake work in respect of this agreement, the Consultant shall notify the Director of Perth Boat School immediately.
7.4.4 Neither party of this agreement may transfer or assign its responsibilities to another party.
Specified Person. 17.1 If you are an individual, you can nominate one or more persons over the age of 18 years to be Specified Persons. We reserve the right to refuse to accept any person as your Specified Person.
17.2 If you are a company or other entity, you must nominate one or more Specified Persons over the age of 18 years. We reserve the right to refuse to accept any person as your Specified Person.
17.3 Your Specified Persons will have the same control over Property as you do, including the rights to:
1. access the Property;
2. remove the Property; and
3. terminate this Agreement
17.4 If we cannot contact you using the details you have provided in the Schedule, we may contact your Specified Persons including to give notice that we require the Property to be removed.
17.5 You can revoke the authority of any Specified Person by notifying us in writing.
18.1 Access to Property stored at the Vault Facility is limited to you and your Specified Persons.
18.2 We will require photo identification and biometric security authorisation before allowing access (by appointment only) to the Vault Facility and we may refuse access if we are not satisfied with the form of identification produced.
18.3 You can access the Vault Facility between 8.30am and 5:00pm Monday to Friday (public holidays excepted) and Saturday between 8.30am and midday. Access outside the hours must first be agreed by us. We may charge you additional fees to cover the cost of staffing outside these hours.
18.4 We may refuse any person access to the Vault Facility or to their Property where required to do so by lawful instructions, notices, orders or directions.
Specified Person. 3.1 AFAC warrants that the Specified Person has the necessary skills, experience, training and resources to successfully deliver the Review Services.
3.2 The parties agree that the Review Services are delivered by the Specified Person as a representative of AFAC and not as a representative of the Sponsor. AFAC may not direct the Specified Person in the delivery of the Review Services during the period of the Review.
3.3 If the Specified Person is unable to deliver the Review Services, AFAC will substitute the Specified Person with an employee of reasonably commensurate experience agreed by the Sponsor in writing.
