Termination of Employment and Related Matters. (a) The Consultant will cease serving as an officer and employee of the Company and the Association on June 30, 2013 (the “Employment Termination Date”). By entering into this Agreement, the Consultant tenders his resignation, effective as of the close of business on the Employment Termination Date, from each and every position which he holds as an employee, officer, director or committee member of the Company and/or the Association and each and every other position which he holds by virtue of his status as officer, employee, or director or committee member of the Company and/or the Association. The Company and the Association accept such resignation. (b) The Company Employment Agreement and the Association Employment Agreement are each hereby amended to provide that (i) from and after the date of this Agreement, the termEmployment Period” shall mean the period ending on June 30, 2013, and (ii) no extension of the “Employment Period” as so defined to a date beyond June 30, 2013 (including but not limited to any extension relating to a Change in Control) shall occur or be recognized and (iii) at the end of the Employment Agreement the Association shall transfer to Consultant all of its rights, title and interest in and to that certain 2012 Mercedes Benz automobile, VIN No. XXXXX0XX0XX000000.

The Executive’s employment with the Company will terminate by agreement with effect as and from the Termination Date, on which date the Employment Agreement will terminate without further obligation on the part of the Company. 1.2. (b) Upon the termination of the Employee's employment pursuant to Section 7(b), neither the Employee nor the Employee's beneficiaries or estate shall have any further rights under this Agreement or any claims against the Corporation arising out of this Agreement, except the right to receive: (i) the unpaid portion of the Base Salary, computed on a pro rata basis, for the period from the Commencement Date until the first anniversary of the Termination Date, payable in such installments as the Base Salary was paid prior to the Termination Date; and (ii) the payments, if any, referred to in Sections 8(a)(ii) and (iii). (c) The Employee's obligations under Sections 9, 10 and 11 of this Agreement, and the Corporation's obligations under this Section 8, shall survive the termination of this Agreement and the termination of the Employee's employment hereunder.

  • Termination of Employment for Cause If Optionee’s employment with the Bancorp or a subsidiary corporation is terminated for cause, this option shall expire thirty (30) days from the date of such termination. If NOVA desires to terminate Employee's Employment pursuant to subsection (iv) of this Section 7(b), NOVA shall first give Employee three (3) days prior written notice of such intent.

  • Competition After Termination of Employment The Company shall not pay any benefit under this Agreement if the Executive, without the prior written consent of the Company and within 2 years from the Executive’s Termination of Employment, engages in, becomes interested in, directly or indirectly, as a sole proprietor, as a partner in a partnership, or as a substantial shareholder in a corporation, or becomes associated with, in the capacity of employee, director, officer, principal, agent, trustee or in any other capacity whatsoever, any enterprise conducted in the trading area (a 50 mile radius) of the business of the Company, which enterprise is, or may deemed to be, competitive with any business carried on by the Company as of the date of termination of the Executive’s employment or retirement. This section shall not apply following a Change in Control.
