Specified Representations True; No Default. (a) Each of the Specified Representations shall be true as of the relevant Drawdown Date (it being agreed that, notwithstanding anything herein to the contrary, the only representations and warranties, the accuracy of which shall be a condition to the Closing Date, shall be the Specified Representations) and (b) no Default or Event of Default shall have occurred and be continuing; provided that, notwithstanding anything herein to the contrary, for purposes of this §10.2, (i) Defaults and Events of Default due to a breach of representations and warranties shall be limited to a breach of the Specified Representations and (ii) the absence of any Corporate Express Default as of the relevant Drawdown Date shall not be a condition to the making of such Loans (provided that in no event shall a Corporate Express Default include any Default or Event of Default or event or condition of the type described in §12.1(g)(i)(2) hereof relating to Corporate Express or any of its Subsidiaries). Each request for a Loan hereunder under this §10 shall constitute a representation and warranty by the Borrower that the conditions set forth in this §10 shall have been satisfied on the date of the relevant Loan Request and the relevant Drawdown Date.
