SPIN-OFF BY THE COMPANY. Except as set forth on Schedule 5.8, there has not been any sale, spin-off or split-up of material assets of either the Company or any Affiliate since January 1, 1995.

Except as set forth on Schedule 5.8, there has not been any sale, spin-off or split-up of material assets of either the COMPANY or any other person or entity that directly, or indirectly through one or more intermediaries, controls, or is controlled by, or is under common control with, the COMPANY ("Affiliates") since January 1, 1995.
SPIN-OFF BY THE COMPANY. Except as set forth in the Disclosure Schedule, there has not been any sale, spin-off or split-up of material assets or subsidiaries of the Company or any other Affiliate, other than in the ordinary course of business, within the preceding two years.
