Common use of Stamp Duties or Taxes Clause in Contracts

Stamp Duties or Taxes. No stamp, transfer or similar duties or taxes are payable in respect of the offer, issuance, sale and delivery of the Shares to any Investor, provided, that any such Investor is not a resident of Bermuda for Bermuda exchange control purposes.

Stamp Duties or Taxes. No Bermuda stamp, transfer or similar duties or taxes are payable in respect of the offer, issuance, sale issuance and delivery of the Shares Warrants, to any Investor, provided, the Investors pursuant to this Agreement provided that any such Investor is not a resident of in Bermuda for Bermuda exchange control purposes, and if any such taxes arise in connection with the execution of this Agreement, the Other Closing Documents or the consummation of any of the transactions contemplated hereby or thereby, then the Company will pay such taxes.
