Stamp Duties, Registration Fees and Other Costs. (a) You must on demand pay the Bank all costs and expenses (including legal fees, stamp duties, disbursements and any related penalties) the Bank incurs in connection with the preparation, execution, registration or perfection of the Security Documents. All such amounts are payable by you on a full indemnity basis. Such payment must be made together with interest from the date the costs and expenses are incurred to the date of full payment at the Prevailing Interest Rate and if applicable, the Default Interest Rate (both before and after judgment). (b) Legal costs and expenses on a full indemnity basis are payable by you regardless whether the Facility is cancelled or aborted at any time before completion of legal documentation.
