Common use of Stamp Duty Clause in Contracts

Stamp Duty. Bidder will: (a) pay all stamp duty (if any) and any related fines and penalties payable in respect of the Schemes and the Deed Poll, the performance of the Deed Poll and each transaction effected by or made under or in connection with the Schemes and the Deed Poll; and (b) indemnify each Scheme Shareholder against any liability arising from failure to comply with clause 9.1(a).

Stamp Duty. Bidder will: (a) pay all stamp duty (if any) and any related fines and penalties payable in respect of the Schemes this Scheme and the Deed Poll, the performance of the Deed Poll and each transaction effected by or made under or in connection with the Schemes this Scheme and the Deed Poll; and (b) indemnify each Scheme Shareholder against any liability arising from failure to comply with clause 9.1(a).

Stamp Duty. Bidder willBidder: (a) must pay all stamp duty (if any) duties and any related interest, fines and penalties payable in respect of this deed, the Transaction, the Schemes and the Deed Pollor any transaction or steps effected or taken under, or contemplated by, this deed, the performance of Transaction or the Deed Poll and each transaction effected by or made under or in connection with the Schemes and the Deed PollSchemes; and (b) indemnify each Scheme Shareholder indemnifies APD against any liability arising from or in connection with any failure by Bidder to comply with clause 9.1(a16.1(a).

Stamp Duty. Bidder willmust: (a) pay all stamp duty (if any) duties and any related fines and penalties payable in respect of the Schemes and transfer of the Deed Poll, the performance of Scheme Shares to Bidder pursuant to this Scheme or the Deed Poll and each transaction effected by or made is authorised to apply for and retain the proceeds of any refund due in respect of stamp duty paid under or in connection with the Schemes and the Deed Pollthis clause; and (b) indemnify each Scheme Shareholder against any liability arising from a failure to comply with clause 9.1(a)7.5(a) of this deed poll.

Bidder will: (a) must pay all stamp duty duties (if any) and any related fines and penalties payable with respect to stamp duty in respect of this deed or the Schemes and Scheme or the Deed Poll, steps to be taken under this deed or the performance Scheme (including the acquisition or transfer of Scheme Shares pursuant to the Deed Poll and each transaction effected by or made under or in connection with the Schemes and the Deed Poll; and (b) indemnify each Scheme Shareholder against any liability arising from failure to comply with clause 9.1(aScheme).
