Common use of Stamp Duty Clause in Contracts

Stamp Duty. Bidder: (a) must pay all stamp duties and any related interest, fines and penalties in respect of this deed, the Transaction, the Schemes or any transaction or steps effected or taken under, or contemplated by, this deed, the Transaction or the Schemes; and (b) indemnifies APD against any liability arising from or in connection with any failure by Bidder to comply with clause 16.1(a).

Stamp Duty. BidderBidder will: (a) must pay all stamp duties duty and any related interest, fines and penalties in respect of this deedScheme and the Deed Poll, the Transaction, performance of the Schemes Deed Poll and each transaction effected by or any transaction made under or steps effected or taken under, or contemplated by, in connection with this deed, Scheme and the Transaction or the SchemesDeed Poll; and (b) indemnifies APD indemnify each Scheme Shareholder against any liability arising from or in connection with any failure by Bidder to comply with clause 16.1(a9.1(a).

BidderBidder must: (a) must pay all stamp duties and any related interest, fines and penalties in respect of the transfer of the Scheme Shares to Bidder pursuant to this deed, the Transaction, the Schemes or any transaction or steps effected or taken under, or contemplated by, this deed, the Transaction Scheme or the SchemesDeed Poll and is authorised to apply for and retain the proceeds of any refund due in respect of stamp duty paid under this clause; and (b) indemnifies APD indemnify each Scheme Shareholder against any liability arising from or in connection with any a failure by Bidder to comply with clause 16.1(a)7.5(a) of this deed poll.

Bidder: (a) must pay all stamp duties and any related interest, fines and penalties with respect to stamp duty in respect of this deed, the Transaction, the Schemes or any transaction or steps effected or taken under, or contemplated by, this deed, the Transaction deed or the SchemesScheme or the steps to be taken under this deed or the Scheme; and (b) indemnifies APD Target against any liability arising from or in connection with any its failure by Bidder to comply with clause 16.1(a14.1(a).

BidderBidder must: (a) must pay all stamp duties duty (if any) and any related interest, fines and penalties payable on or in respect connection with the transfer by the Scheme Shareholders of the Scheme Shares to Bidder pursuant to the Scheme and this deed, the Transaction, the Schemes or any transaction or steps effected or taken under, or contemplated by, this deed, the Transaction or the Schemesdeed poll; and (b) indemnifies APD indemnify each Scheme Shareholder against any liability arising from or in connection with any failure by Bidder to comply with clause 16.1(a6.1(a).

BidderBidder will: (a) must pay all stamp duties duty (if any) and any related interest, fines and penalties payable on or in respect connection with the transfer by the Scheme Shareholders of the Scheme Shares to Bidder pursuant to this deed, the Transaction, the Schemes or any transaction or steps effected or taken under, or contemplated by, this deed, the Transaction Scheme or the SchemesDeed Poll; andand‌ (b) indemnifies APD indemnify each Scheme Shareholder against any liability arising from or in connection with any failure by Bidder to comply with clause 16.1(a9.1(a).

Bidder: (a) must pay all stamp duties and any related interest, fines and penalties Duty in respect of this deedthe Scheme and the steps to be taken under the Scheme, the Transaction, transfer of the Schemes or any transaction or steps effected or taken under, or contemplated byScheme Shares from the Scheme Shareholders to Bidder, this deed, deed poll and the Transaction or the Schemesperformance of this deed poll; and (b) indemnifies APD each Scheme Shareholder against any liability arising from or in connection with any failure by Bidder to comply with clause 16.1(a7.1(a).

Bidder: (a) Bidder must pay all stamp duties (if any) and any related interest, fines and penalties with respect to stamp duty in respect of this deed, the Transaction, the Schemes or any transaction or steps effected or taken under, or contemplated by, this deed, the Transaction deed or the Schemes; and Scheme or the steps to be taken under this deed or the Scheme (b) indemnifies APD against any liability arising from including the acquisition or in connection with any failure by Bidder transfer of Scheme Shares pursuant to comply with clause 16.1(athe Scheme).

The Bidder: (a) must will pay or procure the payment of all stamp duties and any related interest, fines and penalties in respect of this deeddeed poll, the Transaction, the Schemes performance of this deed poll and each transaction effected by or any transaction or steps effected or taken under, or contemplated by, made under this deed, the Transaction or the Schemesdeed poll; and (b) indemnifies APD each Scheme Shareholder against any liability arising from or in connection with any failure by Bidder to comply with clause 16.1(a6.1(a).
