Common use of Standard Form IP Agreements Clause in Contracts

Standard Form IP Agreements. The Seller has provided to the Purchaser a complete and accurate copy of each standard form of Contract used by the Seller or any Seller Affiliate as of the date of this Agreement covering the standard form of employee agreement containing any assignment or license of Intellectual Property to the Seller or any Seller Affiliate.

Standard Form IP Agreements. The Seller has provided delivered to the Purchaser Buyer a complete and accurate copy of each standard form of Contract used by the Seller or of: (i) agreement with any Seller Affiliate as of the date of this Agreement covering the standard form of employee agreement Business Employee containing any assignment or license of Owned Intellectual Property to the Seller or any Seller Affiliateconfidentiality provision; (ii) agreement with any Business Consultant containing any assignment or license of Owned Intellectual Property or any confidentiality provision related to Owned Intellectual Property; and (iii) confidentiality or nondisclosure agreement intended to protect the Owned Intellectual Property (each such form, a “Standard Form IP Agreement”).

The Seller has provided to the Purchaser a complete and accurate copy of each standard form of Seller IP Contract used by the Seller or in connection with the Business at any Seller Affiliate as of the date of this Agreement covering the time, including each standard form of employee agreement containing any assignment or license of Intellectual Property to the Seller or any Seller Affiliate.(i) employee

The Seller has provided to the Purchaser a complete and accurate copy of each standard form of Seller IP Contract used by the Seller or in connection with the Business at any Seller Affiliate as of the date of this Agreement covering the time since April 21, 2007, including each standard form of (a) employee agreement containing any assignment or license of Intellectual Property to the Seller Rights; (b) consulting or independent contractor agreement containing any Seller Affiliateintellectual property assignment or license of Intellectual Property Rights; and (c) confidentiality or nondisclosure agreement.
