Standard Warranties. 4.3.B.1) Artist warrants to the County the Artwork to be free from defective or inferior materials and workmanship for two (2) years after the date of final written acceptance by the County, including any defects or qualities causing or accelerating deterioration. If within two (2) years the County finds the Artwork in need of repair, such repairs will be made at no expense to the County promptly and satisfactorily.
Standard Warranties. Supplier's standard warranty for Program Products will apply to defects in design, material and workmanship; provided however, Program Products will conform to all other warranties, specifications and requirements in this Agreement. The Ongoing Warranties in the Subsection titled Ongoing Warranties above will also be for the benefit of Buyer’s Customer and Buyer’s Customer may deal directly with Supplier under such warranty. In the event Supplier’s standard warranty contains additional or more favorable warranties than the warranties in this Agreement, Supplier’s standard warranty will apply. If Supplier is not the original manufacturer, Supplier will pass through to Buyer or Customer all warranties provided by the original manufacturer. THE WARRANTIES AND CONDITIONS IN THIS AGREEMENT ARE IN LIEU OF ALL OTHER WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING THOSE WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Standard Warranties. Section 3.22 of the Partnership Disclosure Schedule contains a true and complete description of the standard warranties granted or made with respect to products sold or services rendered by the Partnership.
Standard Warranties. (A) If Buyer markets Program Products, Services and/or Deliverables (collectively, the "Products") to the Customer under Supplier's brand, then Buyer may pass Supplier's standard warranty for such Products through to the Customer. The Customer may deal directly with Supplier under such warranty, and, if Supplier's standard warranty for Program Products is more favorable than the warranties in this Agreement, Supplier's standard warranty for Program Products will apply to such Products.
(B) If Buyer markets Products to the Customer under Buyer's or its Affiliate's brand, then:
(i) Supplier's warranty is to the Buyer only, (ii) Buyer may not pass Supplier's standard warranty for Program Products through to the Customer, (iii) Customer shall have no warranty claim or recourse against Supplier, and (iv) Buyer shall be responsible for all warranty claims or services.
(C) THE WARRANTIES SET FORTH IN SECTION 7.1 AND 7.2 ARE IN LIEU OF ALL OTHER WARRANTIES OR REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, Form Title: Software; Services Engagement Agreement Form Release: 05/01 Form Owner: Global Procurement Revisions: 3/04 STATUTORY OR OTHERWISE,INCLUDING THOSE WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Standard Warranties. Section 3.22 of the LLC Disclosure Schedule contains a true and complete description of the standard warranties granted or made with respect to products sold or services rendered by the LLC.
Standard Warranties. In connection with the purchase of Minority Shares by AML under Section 1, above, such Shareholder, severally but not jointly and with respect to only the Minority Shares he holds, will make the following representations and warranties to AML in connection with said purchase(s):
(1) Shareholder is the sole owner of the Minority Shares, has not transferred any portion of the Minority Shares, holds the Minority Shares free and clear of all claims, liens and encumbrances (other than the Stock Option), and has the power and authority to transfer the Minority Shares.
(2) Shareholder has not, directly or indirectly, entered into any agreement with or granted any right to other persons relating to the terms or conditions of the transactions contemplated by this Agreement or that would prevent the consummation of the transactions contemplated hereby.
Standard Warranties. The O&M Contractor shall in accordance with Good Industry Practice use Reasonable Efforts to procure for itself customary supplier, manufacturer and other third party warranties, which warranties shall, to the extent commercially available, be fully transferrable and assignable to the Developer and the Enterprises (and, to the extent that any such warranty is in respect of a Warrantied Element, the relevant Warranty Beneficiary) upon the O&M Termination Date.
Standard Warranties. Grantee represents and warrants that:
a. It has the capacity to enter into and perform the obligations under this Agreement and all transactions contemplated herein, and all corporate and other actions required to authorize it to enter into and perform this Agreement have been properly taken;
b. It will not breach any other agreement or violate any law or regulation by entering into or performing this Agreement;
c. It has had a full opportunity to inspect the Property and has determined that they are suitable for the intended use and accepts the Property “as is” and “where is” with all faults.
d. It has read and is familiar with the obligations of this Agreement, all operations will be conducted in strict compliance with this Agreement, and it has notified all of its agents, employees and contractors similarly; and
e. This Agreement has been duly executed and delivered by it and is valid and binding upon it in accordance with the terms, including the representations and warranties set forth herein.
Standard Warranties. In addition to the Warranties, the Construction Contractor shall in accordance with Good Industry Practice use Reasonable Efforts to procure for itself customary supplier, manufacturer and other third party warranties, which warranties shall, to the extent commercially available, be fully transferrable and assignable to the O&M Contractor, the Developer and the Enterprises (and, to the extent that any such warranty is in respect of a Warrantied Element, the relevant Warranty Beneficiary) upon the earlier of the Substantial Completion Date and the CC Termination Date.
Standard Warranties. Buyer may pass Supplier’s standard warranty for Equipment or Program Products through to the Customer. The Customer may deal directly with Supplier under such warranty and in the event Supplier’s standard warranty is more favorable than the warranties in this Agreement, Supplier’s standard warranty will apply. If Supplier is not the original manufacturer of the Equipment, Supplier will pass through to Buyer or Customer all warranties provided by the original Equipment manufacturer to the extent permitted. In the event of a conflict between the Supplier’s standard warranties, original Equipment manufacturer’s warranties and the warranties in this Agreement, the warranties more favorable to Buyer or Customer apply.
