Statement of Services. Service Attachments The services to be delivered by Provider (the “Services”) and the fees for those Services, and the specific terms applicable to those Services are described in the Order or in one or more Service Attachments referencing this Agreement. Except for Supplemental Services or Project Services (described below), and unless otherwise agreed in writing, the services Provider will deliver to Client are limited to those Services specifically identified in the Order and described in the Service Attachments or Schedule of Services. In the event of any conflict between the terms of a Service Attachment or Schedule of Services and this Agreement, the terms in the Service Attachment or Schedule of Services control. In the event of any conflict between the terms of this Agreement and of an Order and any Service Attachment or Schedule of Services, the terms of the Order control. Provider may decline to perform any services requested by Client that are in violation of any applicable law or that are not typically associated with the Services provided by Provider. Supplemental Services “Supplemental Services” include additional services and equipment Client may need on a “one- off” or emergency basis that are not included within the scope of the Services described in an Order or the applicable Service Attachments. You will incur additional Service Fees for Supplemental Services. We will notify Client of any such additional Service Fees and will obtain Client’s approval prior to providing them. However, Provider has no obligation to determine the need for or to provide any Supplemental Services. All Supplemental Services are provided on an “as-is” basis and include no warranties of any kind, whether express or implied. In addition, if Provider determines that any additional services Client requests would be inappropriate for treatment as Supplemental Services under this paragraph, Provider may deliver to Client a proposed Service Attachment for Project Services or a Proposal prior to providing Supplemental Services. Project Services In some cases, Client may ask Provider to deliver services outside the scope of any Order or Service Attachment and inappropriate for treatment as Supplemental Services. Examples of such services include major system upgrades, new computer, machine or device setup, network changes, datacenter moves or setups, or installations. Statement of Services. The CENTER shall:
A. Be responsible for all client intake, counseling and assistance payments;
B. Develop guidelines and procedures for determining client eligibility, income documentation requirements, the amount of assistance and the reason for assistance;
C. Provide adequate certification that the services outlined in this XXX will principally serve low- to moderate-income persons residing in Overland Park, Kansas; and
D. Provide quarterly reports to the CITY no later than the end of the month following the end of each calendar quarter. The CITY shall have access to Program records at all reasonable times upon request for audit purposes.
Statement of Services. The COUNTY shall:
A. Be responsible for all client intake, counseling and assistance payments;
B. Develop guidelines and procedures for determining client eligibility, income documentation requirements, the amount of assistance and the reason for assistance;
C. Provide adequate certification that the services outlined in this XXX will principally serve low- to moderate-income persons residing in Overland Park, Kansas;
D. Provide quarterly reports to the City no later than the end of the month following the end of each calendar quarter. The CITY shall have access to Program records at all reasonable times upon request for audit purposes; and
E. Provide energy conservation education, individual counseling regarding energy usage and budgeting, and other supportive services to utility assistance clients.
Statement of Services. The DISTRICT shall use the CDBG grant solely for the purpose of providing lower income Overland Park working families’ scholarship assistance for the DISTRICT’s summer day camp program. The DISTRICT shall provide eligibility determination for applicants for the scholarship program funded by this grant. The following factors will be used to determine eligibility:
a. The applicant is the parent or legal guardian of the scholarship recipient(s) and is a resident of the CITY; and
b. The scholarship recipient(s) resides with the applicant; and
c. The total income for all members of the applicant’s household does not exceed 80% of the median income of the Kansas City metropolitan area, as determined by the Secretary of Housing and Urban Development; and
d. The applicant is ineligible to receive financial assistance for child care through Social Rehabilitation Services or other social service programs.
Statement of Services. The Environmental Consultant shall perform various environmental consulting services, and work assignments that are assigned by the School District Director of Environmental Services or her designee and the Proposal, and on the terms and conditions set forth in this Contract, within the time deadlines set forth in Paragraph 4.1, Schedule, of this Contract and within budget requirements. The Environmental Consultant shall place strict emphasis on quality, schedule, and budget. The Environmental Consultant shall employ competent personnel as required to properly perform these environmental consulting services in a timely and professionally competent manner as per the Work Order for environmental services and in accordance with Paragraph 3.5,

Catholic Charities shall use the CDBG grant solely to assist high-risk, low-income households and or individuals in the CITY by providing emergency financial assistance to low-income, Overland Park families for rental assistance and utility assistance, as described in the grant proposal for the 2014 2015 Program Year. Catholic Charities shall provide eligibility determination for applicants for the assistance funded by this grant. The following factors will be used to determine eligibility:
a. The applicant is a resident of the CITY; and
b. The total income for all members of the applicant’s household does not exceed 80% of the median income of the Kansas City metropolitan area, as determined by the Secretary of Housing and Urban Development.
Statement of Services. IHN shall use the CDBG grant solely for the purpose of providing emergency shelter, meals, and case management services for homeless Overland Park families, with the goal of returning the families to stable housing in the shortest time possible for Overland Park residents who are homeless, as defined in the grant proposal for the 20142015 Program Year. IHN shall provide eligibility determination for applicants for the assistance funded by this grant. The following factors will be used to determine eligibility:
a. The applicant is a resident of the CITY; and
b. The total income for all members of the applicant’s household does not exceed 80% of the median income of the Kansas City metropolitan area, as determined by the Secretary of Housing and Urban Development.
Statement of Services. The Architectural Designer shall perform various architectural and engineering design services and other disciplines for the Project, in strict accordance with the Project Intent & Scope of Work section and the Phases of Service section of the RFP, and the Scope Determination Report (RFP, Exhibit “A”), which are attached as part of Exhibit B and incorporated by reference into this Contract; and the Proposal as outlined in the approved Scope incorporated by reference into this Contract; and on the terms and conditions set forth in this Contract, within the time deadlines set forth in Paragraph 4.1, Schedule, of this Contract and within budget requirements. The Architectural Designer shall provide these architectural and engineering design services and other disciplines through design, construction administration and post-construction activities. The Architectural Designer shall place strict emphasis on design quality, schedule, and budget. The Architectural Designer shall employ competent personnel as required to properly perform these architectural and engineering design services and other disciplines in a timely and professionally competent manner as per the RFP and in accordance with Paragraph 3.4, Standard of Performance.
4.2.1 The Architectural Designer shall report directly to the assigned School District representative within the School District’s Office of Capital Programs. The School District’s Office of Capital Programs shall directly administer the work of the Architectural Designer, emphasizing on-time and on-budget performance.
4.2.2 The Architectural Designer shall submit, for review by the School District’s Office of Capital Programs, work as designated in the Scope (furnished to the Architectural Designer at the time of assignment of the Project) at the completion of Schematic Design Services, Design Development Services, 100% Construction Document Services, and 100% Bid Document Services.
Statement of Services. 3.1 Consultant agrees that during the term of this Agreement, and any renewal period thereof, he will provide consulting services to the Company in connection with marketing and sales development relating to the Company's business. Consultant will work with and take guidance and directions from the President of the Company.
3.2 Service provided by Consultant shall be as an independent contractor. The term of this agreement shall be until December 31, 2002.
Statement of Services. A. During the Term, Supplier shall perform the work described in the Service Order (the “Services”). Unless otherwise agreed in writing by the parties, any work performed by Supplier for Newmont prior to the Effective Date, which is not covered by a separate agreement between the parties and which falls within the specified scope of services set forth in the Service Order, shall be deemed to have been performed subject to the terms and conditions of this Agreement. Except as otherwise specified in the Service Order, Supplier shall provide all labor, supervision, materials, equipment, tools, consumables, transportation, fuel, maintenance, and such other items and services as are necessary to perform the Services, and shall be solely responsible for demobilization, job site cleanup, and disposition of all residual materials once Services are completed. At any time, without invalidating this Agreement or any portion hereof, Newmont may request reasonable additions, deletions, revisions, or changes to the Services of either a major or minor nature. Any such modification shall be evidenced by a change order to the Service Order, as issued by Newmont and executed or otherwise legally accepted by both parties (each, a “Change Order”), which shall specify the compensation agreed upon by the parties for such changes and the additional time, if any, allotted for the completion of the Services as so modified. This Agreement shall not be construed as an exclusive dealing contract for the provision of the Services and does not preclude Supplier from undertaking work of this general nature for others.
B. Supplier represents, warrants, and covenants that (1) it is fully competent and possesses the requisite skill, knowledge, resources, experience and expertise to perform the Services in accordance with the standards and the degree of skill and judgment which is normally exercised in the United States mining and metals industry and other relevant industry by those engaged in the performance of services similar in nature to the Services, (2) the Services shall be performed in accordance with said standards, skill and judgment, (3) the Services shall be performed in strict compliance with the requirements of this Agreement, including any specifications set forth in the Service Order (“Specifications” as applicable to Services), (4) all Services performed shall be free from defect, (5) all equipment, supplies, and other tangible materials to be incorporated into the Services...
