STATEMENTS REGARDING OWNERSHIP. Mortgagor agrees to submit or cause to be submitted to Mortgagee twenty (20) days after any written request by Mortgagee (provided that such request shall not be more frequently than annually unless in connection with a Transfer), a certified statement of Mortgagor signed by an authorized (a) individual who is Mortgagor or one of the individuals comprising Mortgagor, (b) member of Mortgagor, (c) partner of Mortgagor or (d) officer of Mortgagor, as the case may be, stating whether (i) except for (A) Leases made pursuant to the Leasing Guidelines, (B) License Agreements permitted or not prohibited under the terms of the Loan Documents, and (C) Transfers otherwise expressly permitted under the terms of the Loan Documents without Lender’s consent or where Lender’s consent was previously given, any part of the Property, or any interest in the Property, has been conveyed, transferred, assigned, encumbered, or sold, and if so, to whom; or (ii) except as expressly permitted under the terms of the Loan Documents without Lender’s consent or where Lender’s consent was previously given, any conveyance, transfer, pledge or encumbrance of any direct or indirect interest in Mortgagor has been made and if so, to whom.
